Terms and Conditions
These terms explain who can use PanelWeaver, how ownership and commercial rights work, what content is prohibited, how credits, referrals, and print orders are handled, how storage, suspension, retention, and deletion work, how changes may be made, and how disputes are resolved.

1. About These Terms
These Terms and Conditions govern your use of PanelWeaver, a service operated by Okpe Oluwa, LLC, a Delaware limited liability company, located at 1111B S Governors Ave STE 40047, Dover, DE 19904 US. By accessing or using PanelWeaver, you agree to these terms.
2. Eligibility and Accounts
You must be at least 18 years old to use PanelWeaver. By creating an account, you represent and warrant that you meet this age requirement. You are responsible for safeguarding your account and for all activity that occurs under it.
3. Your Content and Acceptable Use
You are fully responsible for the text, prompts, images, names, and likenesses you upload or generate.
You represent and warrant that you own or possess all necessary rights, licenses, and permissions, including copyright, trademark, and rights of publicity, to use any images, text, or likenesses you upload. You are solely liable if you upload copyrighted characters, branded materials, celebrity photos, or other protected content without authorization.
- Consent for Real People: You may only upload reference photos of real people if you have their explicit consent.
- Zero Tolerance (CSAM): We have a zero-tolerance policy for Child Sexual Abuse Material (CSAM). Any attempt to generate or upload such material will result in an immediate permanent ban and a report to the National Center for Missing & Exploited Children (NCMEC) and law enforcement.
- Prohibited Content: You may not upload, generate, or share sexually explicit content, graphic nudity, fetish content, sexual violence or coercion, sexual content involving minors or ambiguous-age persons, non-consensual intimate imagery, sexualized depictions of real people without consent, unlawful content, infringing content, highly defamatory content, or content that otherwise violates third-party rights.
- Remixing Risk: If you remix another user's project, you are solely responsible for ensuring the resulting content does not infringe on third-party rights. We do not vet PUBLIC or UNLISTED projects for copyright clearance before they are remixed.
- License to Us: You grant us a limited, worldwide, non-exclusive license to host, process, display, and moderate your content solely as needed to operate, secure, and improve the service. We do not use your private data or outputs to train our foundational AI models.
- Safety Enforcement: We may review, restrict, remove, preserve, or report content and account activity when needed to enforce these Terms, investigate abuse, comply with legal obligations, or protect users, third parties, and the service.
- Storage Mechanisms: PRIVATE projects do not appear in our public Gallery or public app surfaces, but project assets such as uploaded reference images and generated pages are delivered through randomized, unguessable public URLs and CDN paths. Anyone who obtains a direct asset URL may be able to view that asset.
- Generated Artifact Retention: Our standard product policy is to retain generated comic book artifacts for up to five (5) years for product, legal, and operational hygiene. Before potential routine deletion of accessible generated artifacts, we will use reasonable efforts to notify affected users and provide a reasonable opportunity to export or download the affected comic assets, unless legal, safety, abuse-prevention, security, or operational constraints require otherwise.
4. Ownership and Commercial Rights
We claim no ownership over your inputs or the AI-generated outputs you create using PanelWeaver. We hereby assign to you all rights, title, and interest we may hold in the generated outputs, and we grant you full commercial rights to use, sell, or distribute your comics.
- Copyright Warning: Please be aware that under current US law, purely AI-generated images may not be eligible for copyright protection.
- Public Gallery & Remixing: If you set a project to "PUBLIC" or "UNLISTED", you grant PanelWeaver and its users a worldwide, royalty-free license to view, share, and "remix" your project to create derivative works within the app. PUBLIC projects may appear in the Gallery. UNLISTED projects can be viewed and remixed by anyone with the link, but they will not appear in the Gallery.
5. Credits, Pricing, and Payments
PanelWeaver operates on a credit-based system.
- Nature of Credits: Credits are digital tokens that allow you to use our services. They have no cash value, are non-transferable, and cannot be exchanged for fiat currency.
- Expiration and Pricing: Credits expire according to the terms of the plan you purchased. We reserve the right to change the pricing of credits, subscription tiers, or the credit-cost of app features (e.g., page revisions, prints) at any time.
- Refunds: Unless strictly required by applicable law, all credit purchases are final and non-refundable.
6. Referral and Promotional Credits
PanelWeaver may offer referral rewards or promotional credits as launch promotions or other limited campaigns.
PanelWeaver reserves the right to modify, pause, or completely terminate the referral program at any time, for any reason, at our sole discretion. We reserve the right to investigate, revoke credits, or ban accounts if we suspect fraud, self-referral abuse, or violation of our terms.
- No Cash Value: Referral credits and promotional credits have no cash value, are non-transferable, and cannot be redeemed or cashed out.
7. Physical Print Orders and Shipping
PanelWeaver utilizes third-party print-on-demand APIs (e.g., Lulu) to fulfill physical paper prints.
- Customs and Duties: For international orders, you are solely responsible for any customs fees, import taxes, tariffs, or duties required by your country. We will not refund orders delayed or held by customs.
- Fulfillment: Print quotes are estimates. Credits are deducted upon final submission. Because these are custom-printed goods, orders generally cannot be canceled or modified once production has started.
- Pre-Production Rejections: If our fulfillment provider rejects your order before production starts, such as because of address validation problems or provider-side submission failures, we may restore the associated credits to your account. Once the order is accepted for production, those credits are generally non-refundable.
- Quality and Delivery: We do not guarantee exact color reproduction, material feel, or specific carrier delivery dates.
- Final Review Responsibility: You are responsible for reviewing your comic before ordering a print. We do not offer refunds, reprints, or returns for user-approved content issues such as typos, formatting mistakes, story choices, or visual AI artifacts.
- Production Issues: If an order arrives damaged, defective, or incorrectly packaged, we may help route the issue through Lulu or the applicable fulfillment provider, subject to their policies, evidence requirements, and timelines. We do not guarantee a replacement or refund ourselves.
8. Third-Party Services
PanelWeaver integrates with third-party providers for AI generation (e.g., Google Gemini), storage (Cloudflare), payments (Stripe), email (Resend), analytics (PostHog), and printing (Lulu). We are not responsible or liable for outages, errors, or policy changes made by these third-party services.
9. DMCA and Copyright Policy
We respect the intellectual property of others. If you believe material on PanelWeaver infringes your copyright, please send a DMCA takedown notice to [email protected].
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.
- Identification of the copyrighted work claimed to have been infringed, or, if multiple works are covered, a representative list of those works.
- Identification of the material claimed to be infringing, including enough information for us to locate it, such as the relevant URL.
- Your contact information, including your name, address, telephone number, and email address.
- A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law.
- A statement, made under penalty of perjury, that the information in the notification is accurate and that you are the copyright owner or are authorized to act on the copyright owner's behalf.
10. Indemnification
You agree to indemnify, defend, and hold harmless Okpe Oluwa, LLC, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the service, your violation of these Terms, or your infringement of any third-party right (including copyright, trademark, or rights of privacy/publicity via uploaded reference images).
11. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.
AI is an evolving technology. You acknowledge that AI-generated outputs may be unpredictable, inaccurate, offensive, incomplete, or otherwise unsuitable for your intended use. You are responsible for reviewing outputs before relying on them, sharing them, publishing them, or ordering prints.
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, strikes, internet outages, or failures of third-party APIs, infrastructure providers, payment processors, storage vendors, or print-fulfillment services.
HARD LIABILITY CAP: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OKPE OLUWA, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
12. Suspension, Termination, and Inactive Accounts
We may suspend, restrict, or terminate your account or access to the service at any time if we believe you violated these Terms, created risk for the platform or other users, engaged in abuse or fraud, triggered legal or compliance concerns, or otherwise used PanelWeaver in a way that is harmful to the service.
If we terminate or restrict your account because of abuse, fraud, policy violations, or legal risk, unused credits, promotional credits, and referral rewards may be forfeited and will not be refunded unless applicable law requires otherwise.
Upon termination, restriction, or deletion of your account, you may permanently lose access to associated projects, assets, outputs, and credits. We may delete or retain related data as reasonably necessary for operations, fraud prevention, legal compliance, and recordkeeping, and our generated-artifact export notice policy does not apply when access is terminated or restricted for abuse, legal, safety, or security reasons.
We also reserve the right to deactivate or delete inactive accounts, projects, and associated assets after an extended period of inactivity or prolonged non-use of the service, subject to any legal or operational retention obligations we may have.
13. Dispute Resolution: Binding Arbitration and Class-Action Waiver
Any dispute arising out of or relating to these Terms or the service shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) in Delaware, rather than in court. Either party may bring an individual claim in small claims court instead of arbitration if the claim qualifies there.
You and Okpe Oluwa, LLC agree to waive any right to a jury trial or to participate in a class-action lawsuit. You may opt out of this arbitration agreement within 30 days of first accepting these terms by emailing [email protected].
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may update the effective date above and provide additional notice where appropriate. Your continued use of PanelWeaver after updated Terms take effect means you accept the revised Terms.
15. Governing Law
These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
